The opportunity:

OpenText is seeking a lawyer for the Legal Counsel role to join Open Text’s in-house legal team based in our Alpharetta, Georgia office. This is a diverse role that will include drafting and negotiating a variety of commercial technology agreements in support of our sales team in North America, including software licenses, cloud-services agreements, software-as-a-service agreements, professional-services engagements, and resolving commercial disputes.

You are great at:

• Working effectively and pragmatically in a fast-paced environment
• Drafting and negotiating a wide variety of commercial agreements, including negotiating on our customers’ forms of contract
• Analyzing legal risk and working to mitigate contributing factors
• Taking on the occasional “reach” project
• Communicating clearly and solving problems
• Building positive working relationships with teammates, internal business partners, and customers

What it takes:

• Member in good standing of a state bar
• Juris Doctor degree from an accredited law school
• Strong academic record and experience working in-house in a corporate environment and/or a law firm with a commercial practice
• 3+ years previous experience conducting contract negotiations
• Enthusiastic, hard-working, and enjoy working in a team environment with professional colleagues
• Solid “hands on” experience drafting, negotiating and reviewing a wide variety of agreements, particularly in cloud-based services, software as a service, software licensing, and professional services
• Advising management on legal risks affecting the business and strategies for mitigation
• Good business sense, attention to detail, and pragmatic legal approach
